Welcome to Dion (referred to as "Dion", "we", "us", or "our"), the application that redefines social connection through the act of treating. Membership Benefits, promotions, and other services are made available through the Dion platform. These Terms of Service ("Terms") govern your access to and use of Dion, including your Account, any Membership, Membership Benefits, promotional programs, digital products, and all other services, features, content and functionality made available by Dion. By accessing, downloading, registering for Dion, purchasing a Membership, or otherwise using Dion, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms in full, you may not use our services.
These Terms incorporate by reference our Privacy Policy, available at https://dionapp.com/privacy, which explains how we collect and use your personal information. Please read both documents carefully.
We may modify or update these Terms from time to time at our sole discretion. At Dion, we aim to create a respectful, secure, and inclusive community where privacy and trust are paramount. By joining Dion, you commit to upholding these values and adhering to the behavioral standards outlined in these Terms.
To access or use Dion, including creating an Account, applying for or purchasing a Membership, or using any services made available through the Dion platform, you must:

Dion does not sell, distribute, serve, or supply alcoholic beverages and does not supervise or control their purchase, service, or consumption. Participating venues remain solely responsible for complying with all applicable laws, licensing requirements, and responsible service obligations.
Dion provides a technology platform that facilitates social interactions, digital treats, Membership Benefits, and related services. Dion does not verify, monitor, or guarantee the quality, legality, safety, or availability of any goods or services offered by participating venues or other third parties.
Dion is a curated membership platform. While certain features of the Services may be available without a paid Membership, access to certain features, Membership Benefits, promotions, rewards, credits, discounts, partner offers, events, experiences, and other privileges made available through the Dion platform may require an active Membership.
A user holding an active Membership under these Terms shall be referred to as a "Member."
Membership is personal to the Member, non-exclusive, revocable, non-transferable, and may not be assigned, shared, sublicensed, pledged, or sold without Dion's prior written consent.
Membership constitutes a contractual right to access the Membership program in accordance with these Terms only. Membership does not create any ownership interest, equity interest, partnership, joint venture, agency, employment relationship, or other legal interest in Dion or any participating venue, merchant, or partner.
Dion reserves the right, in its sole discretion and subject to applicable law, to approve, refuse, suspend, revoke, or terminate any Membership in accordance with these Terms.
Dion may offer one or more Membership plans, including paid, complimentary, promotional, or invitation-only Memberships, each subject to the terms applicable to that Membership plan.
Unless otherwise stated at the time of purchase, paid Memberships are offered on a recurring monthly subscription basis at the applicable fee displayed through the Dion platform.
Membership fees are billed in advance on a recurring basis until cancelled.
By purchasing a Membership, you authorize Dion and its designated payment service providers to charge your selected payment method for all applicable Membership fees, taxes, and other charges associated with your Membership.
Applicable taxes may be added where required by applicable law.
Dion reserves the right to establish, modify, increase, reduce, or discontinue Membership fees or subscription plans at any time. Where required by applicable law, Dion will provide reasonable notice before any material pricing changes become effective.
Active Members may receive access to benefits, features, promotions, rewards, credits, discounts, partner offers, events, experiences, and other privileges (collectively, "Membership Benefits") determined by Dion from time to time.

The Membership Benefits, eligibility requirements, redemption rules, and applicable conditions communicated through the Dion App, Website, or other official Dion communications from time to time form part of these Terms.
From time to time, Dion may, in its sole discretion, grant selected individuals complimentary, discounted, promotional, or invitation-only Memberships ("Invitational Memberships").
Invitational Memberships remain subject to these Terms unless Dion expressly provides otherwise.
An Invitational Membership is a discretionary benefit only and does not create any contractual entitlement to complimentary Membership, continued fee waivers, renewal on preferential terms, or any particular Membership Benefit.
Dion reserves the right, at any time, to modify, suspend, revoke, discontinue, or require payment for any Invitational Membership.
Membership fees are billed in advance on the applicable billing cycle.
Members are responsible for maintaining accurate, complete, and current payment information.
If Dion or its payment service provider is unable to successfully process any Membership payment, Dion may retry the payment, suspend Membership Benefits, restrict access to Membership, or terminate Membership until all outstanding amounts have been paid.
Members may cancel their Membership at any time through the Dion App or any other method made available by Dion.
Cancellation prevents future recurring Membership charges but does not entitle the Member to any refund for the current billing period except where required by applicable law.
Unless earlier suspended or terminated pursuant to these Terms, Membership and associated Membership Benefits shall remain available until the end of the applicable billing period.
Dion may, at any time and subject to applicable law, modify, replace, suspend, expand, restrict, or discontinue any aspect of its Membership program, including:

Membership and Membership Benefits are intended solely for personal, non-commercial use.
Members may not use, exploit, or permit others to use Membership or Membership Benefits for commercial, promotional, resale, advertising, or other unauthorized purposes without Dion's prior written consent.
Failure to use Membership or any Membership Benefit during any billing period shall not entitle the Member to any refund, extension, replacement, credit, or compensation, except where required by applicable law.
In order to access certain features of the Services, including Membership and other functionalities made available through the Dion platform, you may be required to create a user account ("Account").
When creating an Account, you agree to provide accurate, complete, and current information and to promptly update such information whenever necessary to ensure that it remains accurate.
Dion reserves the right to refuse registration, require additional verification, suspend, or terminate any Account in accordance with these Terms.
You are solely responsible for maintaining the confidentiality of your Account credentials, including your username, password, authentication methods, and any other security information associated with your Account.

By creating an Account, you agree that Dion may communicate with you regarding your Account, Membership, transactions, Membership Benefits, security matters, operational updates, customer support matters, and other service-related communications through the Dion App, email, SMS, push notifications, or any other contact details you have provided.
Where permitted by applicable law, Dion may also send you marketing or promotional communications. You may manage your marketing communication preferences through your Account settings or by following the unsubscribe instructions contained in such communications.
Nothing in this Section affects any mandatory rights you may have under applicable electronic communications, consumer protection, or privacy laws.
You are solely responsible for all activity occurring under your Account, whether or not authorized by you, except to the extent resulting from Dion's negligence or willful misconduct.
Dion shall not be liable for any loss, damage, unauthorized transactions, or other consequences arising from your failure to safeguard your Account credentials or otherwise comply with these Terms.
The collection, use, storage, disclosure, and protection of personal information are governed by Dion's Privacy Policy, which forms an integral part of these Terms.
By creating an Account and using the Services, you acknowledge that you have read and understood the Privacy Policy.
Dion provides a technology platform that enables users to connect, communicate, participate in Membership programs, purchase and redeem digital products and services, exchange digital treats, access Membership Benefits, participate in promotions and events, and interact with participating venues, merchants, partners, and other users (collectively, the "Services").
The Services may evolve over time. Dion may introduce, modify, suspend, replace, or discontinue any feature, functionality, product, program, or service in accordance with these Terms.

Participating venues, merchants, and partners operate independently from Dion.
Dion does not own, operate, manage, supervise, or control participating venues or partners and makes no representation or warranty regarding:
Any transaction or interaction between you and a participating venue or partner is solely between you and that third party, except to the extent expressly stated otherwise by Dion.
The Services are provided on a dynamic basis and may change at any time.
Dion does not guarantee uninterrupted availability of the Services or any particular feature, Membership Benefit, promotion, venue, partner, or functionality.
Temporary interruptions may occur due to maintenance, upgrades, technical failures, third-party service interruptions, security measures, or circumstances beyond Dion's reasonable control.
The Services may allow you to create, upload, post, transmit, display, exchange, or otherwise make available text, images, photographs, videos, audio, messages, profile information, comments, reviews, and other content (collectively, "User Content").
You retain ownership of your User Content. However, by submitting or making User Content available through the Services, you represent and warrant that:
To the extent necessary for Dion to operate, improve, promote, and provide the Services, you grant Dion a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (solely for formatting and technical purposes), transmit, distribute, display, and otherwise use your User Content in connection with the operation of the Services.
This license continues for as long as your User Content remains available through the Services, except where a longer retention period is required by law or for legitimate business purposes, including the establishment, exercise, or defense of legal claims.
You are solely responsible for your conduct while using the Services, including your interactions with other users, participating venues, merchants, partners, and third parties.
You agree to act honestly, respectfully, and lawfully at all times and to use the Services in a manner consistent with these Terms and Dion's Policies.
Your conduct, whether occurring through the Services or otherwise where it affects the safety, integrity, or reputation of the Dion community, may be considered by Dion when determining whether enforcement action is appropriate under these Terms.
Dion reserves the right, in its sole discretion and without prior notice, to review, remove, restrict, disable access to, or refuse to publish any User Content that Dion reasonably believes:

Dion may investigate suspected violations of these Terms and may take any action it reasonably considers appropriate to protect the Services, its users, participating venues, partners, or legitimate business interests.

Dion will determine, in good faith and in its reasonable discretion, whether conduct violates these Terms.
Dion may incorporate artificial intelligence, machine learning, automated decision-making tools, recommendation systems, or similar technologies (collectively, "AI Features") into the Services from time to time.

To improve the quality, security, reliability, and performance of AI Features, Dion may process interactions with such features in accordance with its Privacy Policy and applicable law.
Certain Services may allow you to voluntarily share your location, check in at participating venues, or make your presence visible to other users.
Participation in these features is entirely voluntary.
You may enable, disable, or modify location-sharing and visibility settings through the Services where such controls are made available.
By voluntarily enabling location sharing or checking in at a venue, you consent to Dion displaying your location or venue presence in accordance with your selected privacy settings.

Participating venues operate independently from Dion.
Dion does not guarantee:
All admission decisions remain solely with the participating venue.
Venue Check-In and location-sharing features may be unavailable in certain jurisdictions or at certain venues and may be modified, suspended, or discontinued at any time.
Certain Services may enable you to access digital wallets, promotional balances, drink credits, payment instruments, stored payment methods, or other payment-related functionality (collectively, the "Payment Features").
The availability of any Payment Feature depends on your jurisdiction, Membership status, participating partners, technical availability, and any additional eligibility criteria established by Dion or its service providers.
Unless expressly stated otherwise, the Payment Features are provided solely as a convenience to facilitate your use of the Services.
Except where required by applicable law:
You authorize Dion and its payment service providers to charge your selected payment method for Membership fees, purchases, subscriptions, applicable taxes, and any other charges that you expressly authorize through the Services.
You are responsible for ensuring that your payment information remains accurate and current.
Failure to process payment may result in suspension of certain Services or Membership until payment has been successfully completed.
Dion may issue Drink Credits, promotional credits, vouchers, rewards, referral bonuses, loyalty benefits, or similar promotional incentives.

The issuance of promotional benefits does not create any vested right to future promotions.
Where available, Dion may make available a physical or virtual payment card branded as the "Dion Card."
The Dion Card is issued and administered by independent financial institutions or payment partners.
Dion does not itself issue payment cards, hold customer deposits, or provide regulated banking or payment services unless expressly stated otherwise.
Your use of the Dion Card may be subject to additional terms imposed by the issuing institution or payment partner.
Payment processing services are performed by independent third-party payment processors and financial partners.
By using the Payment Features, you acknowledge that:

Where Dion reasonably determines that a violation has occurred or that action is otherwise necessary, Dion may exercise one or more of the enforcement measures set out in this Section.
Nothing in these Terms obligates Dion to investigate every report or alleged violation.
Dion may temporarily suspend, restrict, or limit your access to all or part of the Services where Dion reasonably believes that such action is necessary to:

Third-Party Providers operate independently from Dion and are solely responsible for their own products, services, content, conduct, pricing, availability, policies, and legal compliance.
Dion does not own, operate, manage, supervise, or control Third-Party Providers unless expressly stated otherwise.
Accordingly, Dion does not warrant or guarantee:
Your interactions with Third-Party Providers may be subject to additional agreements, privacy policies, payment terms, or other contractual arrangements established by those providers.
Dion is not a party to such agreements unless expressly stated otherwise.
You are solely responsible for reviewing and complying with any applicable third-party terms.
Any purchase, reservation, booking, redemption, payment, attendance at an event, or other transaction involving a Third-Party Provider constitutes a transaction solely between you and that Third-Party Provider, except where Dion expressly assumes responsibility.
The Services may include links to, integrations with, or functionality provided by third-party software, websites, APIs, payment processors, mapping services, artificial intelligence providers, communication services, analytics providers, or similar technologies.
Dion is not responsible for the availability, security, functionality, or content of such third-party technology.
The inclusion of any Third-Party Provider, venue, partner, merchant, product, or service on the Services does not constitute an endorsement, recommendation, certification, or guarantee by Dion unless expressly stated otherwise.
To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Dion may assign, transfer, or otherwise delegate its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
You may not assign or transfer your rights or obligations under these Terms without Dion's prior written consent.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
To the extent permitted by law, any invalid provision shall be interpreted or modified to achieve, as nearly as possible, its original commercial purpose.
No waiver by Dion of any breach or default shall constitute a waiver of any subsequent breach or default.

These Terms, together with the Privacy Policy and any other Policies expressly incorporated by reference, constitute the entire agreement between you and Dion regarding the Services and supersede all prior understandings relating to their subject matter.
These Terms shall be governed by the law specified within the Dion App or otherwise communicated to you at the time of contracting.
Subject to any mandatory consumer protection laws, the competent courts specified in the applicable jurisdiction clause shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
