By accessing, downloading, or using Dion, you agree to be bound by these Terms of Service ("Terms"), which form a binding agreement between you and Dion. Dion is not a seller or provider of alcoholic beverages and does not monitor, supervise, or assume responsibility for the purchase, service, or consumption of alcohol at any venue. Each user is solely responsible for ensuring their participation complies with all relevant legal requirements and venue policies.
Dion does not verify, and cannot guarantee, the quality, legality, or responsible consumption of any alcohol or other products provided by third-party venues. By using Dion, you acknowledge and accept that Dion's role is limited to providing a digital platform that facilitates social interaction and treats between users.
Full and complete access to Dion is available only to approved members. To become a member, prospective users must complete a brief application. Dion reserves the exclusive right and discretion to determine who is granted membership and may accept, decline, suspend, or revoke membership at any time, without obligation to provide reasons.
Upon acceptance, you will be required to create an account by providing accurate, current, and complete personal information as requested. You agree to maintain and promptly update your information to ensure it remains true and accurate at all times.

You are solely responsible for all activities that occur under your account. Dion shall not be liable for any loss or damage arising from unauthorized access to your account, whether or not you were aware of such access.
Your registration data and other personal information are protected and handled in accordance with our Privacy Policy.
Dion provides a digital platform that enables users to connect, communicate, and exchange "treats" (digital vouchers) redeemable at authorized venues for drinks or other items. By using Dion, you agree to use the services solely for personal, non-commercial, and lawful purposes, and in accordance with these Terms.

Dion vouchers are time-sensitive privileges, not gift certificates or stored-value cards.
They hold no cash value, are non-transferable, and cannot be exchanged for money.
Each voucher must be redeemed within the stated validity period. Expired vouchers cannot be reissued, refunded, or replaced.
Dion does not sell, issue, or process payments for alcoholic beverages and is not a financial institution or licensed money issuer.
Dion may update, modify, suspend, or discontinue any feature of its services at any time without prior notice, provided that such changes do not materially reduce the core functionality of the platform.
You are solely responsible for all information, images, videos, messages, and other materials ("User Content") that you upload, post, or transmit through Dion. You represent and warrant that:
By posting or sharing content on Dion, you grant Dion a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, store, reproduce, distribute, and display such content for the purpose of operating, promoting, and improving the Dion platform.
Dion reserves the right, at its sole discretion, to remove or restrict access to any content that violates these Terms or is otherwise deemed inappropriate or harmful to the community.

Your conduct on Dion should reflect courtesy, respect, and accountability toward others both online and offline. Dion may review reports of misconduct and take appropriate action, including suspension or permanent account termination.

Dion is under no obligation to prove misconduct prior to enforcement and may take immediate action to protect the integrity and safety of its community.
To preserve the integrity and safety of the Dion community, the following conduct is strictly prohibited, whether occurring on or off the platform, before or after registration:
Any violation of this Policy may result in immediate suspension or permanent termination of your account, at Dion's sole discretion, without obligation to provide prior notice or evidence. Dion reserves the right to investigate and cooperate with law-enforcement authorities where necessary.
Dion may use artificial intelligence and automated systems to enhance the user experience, including suggesting conversation starters, recommending matches, or optimizing user interactions.
These features are provided solely for convenience and entertainment. They are not personal advice, endorsements, or guarantees of accuracy, and may occasionally generate incomplete, imprecise, or unintended outputs.
By using Dion, you acknowledge that:
Dion's venue check-in feature allows users to share their presence at a participating venue and connect with others nearby. By using this feature, you voluntarily consent to the disclosure of your location information to other Dion users within that venue.
You acknowledge and agree that:
Dion cannot guarantee entry into any venue, nor can it be held liable for any venue's entry requirements, admission policies, or other operational rules. Venues remain independent third parties responsible for their own services, conduct, and customer interactions.
The Dion Wallet allows users to hold and redeem credits exclusively within the Dion app for eligible purchases and "treats." Wallet balances represent a limited-purpose digital credit and do not constitute electronic money, stored value, or a deposit under any financial or payment-services legislation.
Refund policy for unclaimed or canceled treats is defined by the information available on the checkout screen; refunds are automatically credited to your Dion Wallet.
Wallet balances and unredeemed treats are time-limited and expire after the validity period specified in the app. Expired credits are automatically forfeited and cannot be reissued or reinstated.
Dion reserves the right to:
Dion acts solely as an intermediary platform facilitating digital transactions between users and participating venues. It is not a payment service provider, money transmitter, or issuer of stored value.
From time to time, Dion may provide users with access to a virtual "Dion Card" issued through our licensed financial partners. The Dion Card allows users to redeem specific beverages or experiences at participating venues.
The Dion Card is not a bank account or general-purpose payment instrument. It can only be used to make authorized redemptions for eligible items at specified locations and within stated time periods.
Dion Card banking services are provided by Patriot Bank N.A.
Use of the Dion Card is governed by the Dion Cardholder Agreement, which sets out the specific card terms, permitted uses, and limitations. By activating or using a Dion Card, you agree to be bound by both these Terms of Service and the Cardholder Agreement.
Dion is a social and promotional platform, not a financial institution.
The Dion Card is provided exclusively for the redemption of promotional Drink Credits and does not create a deposit, custodial, or money-transmission relationship between you and Dion.
Dion reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate your account and access to the services if you:
Dion may take such action with or without prior notice, and is under no obligation to prove misconduct prior to enforcement. All determinations regarding violations or user behavior are made solely by Dion in good faith.

You may terminate your account at any time by following the in-app instructions. Dion will process account deletion requests in accordance with its Privacy Policy and applicable data-protection laws.
Dion may include integrations or links to third-party applications, websites, or services (such as Mapbox for geolocation and mapping). These services are provided solely for your convenience and are subject to the independent terms and privacy policies of those third parties.

Dion provides its platform and services on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, whether express, implied, statutory, or otherwise. Without limitation, Dion disclaims all implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and availability.
Dion does not guarantee that the platform will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. You acknowledge that your use of Dion is at your own discretion and risk.

Dion does not screen or verify users or venues beyond reasonable technical measures and does not guarantee the accuracy, authenticity, or behavior of any member or third party. You should exercise caution and good judgment when using the platform.
To the fullest extent permitted by law, Dion, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:
In no event shall Dion's total cumulative liability, whether in contract, tort, or otherwise, exceed the amount you have paid to Dion (if any) for use of the service within the twelve (12) months preceding the claim.
By registering and/or using Dion, you irrevocably release Dion, its affiliates, and their officers, directors, employees, agents, and partners from any and all claims, demands, losses, or damages (known or unknown) arising out of or related to:

These Terms and any dispute or claim arising out of or relating to them shall be governed by and construed in accordance with the laws of the jurisdiction in which Dion is based, without regard to its conflict of law provisions.
You agree that any dispute, controversy, or claim arising out of or relating to these Terms or your use of Dion shall be submitted to the exclusive jurisdiction of the competent courts of the same jurisdiction, unless otherwise required by applicable mandatory law.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Dion regarding your use of the platform and supersede all prior or contemporaneous understandings, whether written or oral.
